- "Order" refers to a purchase request submitted by a Buyer to a Supplier.
- "Transaction" refers to the complete process of ordering, payment, and delivery.
- "Content" refers to all information, data, text, images, videos, and materials posted on the Platform.
3. Account Registration
3.1 Eligibility
To register an account, you must:
- Be at least 18 years of age
- Have legal capacity to enter into contracts
- Provide accurate and complete registration information
- Not have previously been suspended or removed from our Platform
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Notify us immediately of any unauthorized account access
- Not share your password with any third party
- Log out of your account after each session
- Accept responsibility for all activities under your account
3.3 Account Types
- Buyer Account: For purchasing products. Free to create and use.
- Supplier Account: For selling products. Subject to verification and potential fees.
4. Buyer Terms
4.1 Product Listings
Suppliers are responsible for the accuracy of their product listings. Buyers should review product descriptions, pricing, MOQ, and delivery terms before placing orders.
4.2 Order Process
- Submit order with quantity and specifications
- Receive quote from Supplier (if applicable)
- Make payment through approved payment methods
- Track delivery through the Platform
4.3 Buyer Obligations
- Provide accurate shipping information
- Make timely payments for orders placed
- Communicate professionally with Suppliers
- Provide honest reviews based on actual experience
4.4 Cancellations & Returns
Cancellation and return policies vary by Supplier. Review each Supplier's policies before ordering. Disputes may be escalated to our resolution center.
5. Supplier Terms
5.1 Supplier Verification
All Suppliers must complete verification by providing:
- Valid business registration certificate
- Tax Identification Number (TIN)
- Physical business address verification
- Contact person identification
5.2 Product Listings
Suppliers agree to:
- List only genuine, legal products
- Provide accurate descriptions and images
- Maintain updated inventory and pricing
- Disclose all applicable fees and terms
5.3 Order Fulfillment
- Respond to inquiries within 24 hours
- Process orders within stated lead times
- Provide tracking information for shipments
- Maintain 95%+ order completion rate
Failure to fulfill orders may result in account suspension, removal from the platform, and legal action for fraud.
6. Transactions
6.1 Contract Formation
A binding contract between Buyer and Supplier is formed when:
- Buyer submits an order, and
- Supplier accepts the order or
- Buyer makes payment (for instant purchase products)
6.2 Transaction Process
- Buyer places order
- Supplier reviews and accepts order
- Buyer makes payment (if not already done)
- Supplier ships products
- Buyer confirms receipt
- Funds released to Supplier
6.3 Dispute Resolution
If disputes arise between Buyer and Supplier:
- First attempt direct communication through our messaging system
- Escalate to our dispute resolution team if unresolved
- We may mediate and make binding decisions
- Evidence will be reviewed from both parties
7. Payments & Fees
7.1 Accepted Payment Methods
- Pesapal: Credit/debit cards, mobile money (MTN, Airtel)
- Bank Transfer: Direct bank transfers (for approved transactions)
- Mobile Money: MTN Mobile Money, Airtel Money
7.2 Fees
- Buyer Fees: No fees for browsing or purchasing
- Supplier Fees: 5-10% commission on successful transactions
- Promotion Fees: Additional fees for featured listings and advertising
- Withdrawal Fees: Small fee for payout withdrawals (varies by method)
7.3 Payment Processing
All payments are processed through secure third-party payment gateways. We do not store full payment card information.
Secure Payments: All transactions are encrypted and processed securely. Funds are held in escrow until order completion.
8. Prohibited Conduct
The following activities are strictly prohibited on our Platform:
- Illegal Products: Selling counterfeit, stolen, or illegal goods
- Fraud: Misrepresenting products, fake reviews, or deceptive practices
- Harassment: Abusive, threatening, or harassing behavior toward other users
- Spam: Unsolicited promotional messages or excessive messaging
- Data Scraping: Automated extraction of data without permission
- Manipulation: Artificially inflating ratings, reviews, or search rankings
- Unauthorized Access: Attempting to access other accounts or systems
- Platform Abuse: Circumventing fees or violating any platform rules
Violations may result in immediate account suspension, permanent ban, and legal action.
9. Intellectual Property
9.1 Our IP
The Platform, including its design, logo, content, and underlying technology, is owned by BuyUganda.online and protected by copyright, trademark, and other intellectual property laws.
9.2 Your IP
You retain ownership of content you post on the Platform. By posting, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for Platform operations.
9.3 Infringement
If you believe your intellectual property rights have been infringed, please contact us with:
- Description of the copyrighted work
- Location of the infringing material
- Your contact information
- Statement of good faith belief
10. Disclaimers
As-Is Basis: The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.
Third-Party Content: We are not responsible for product quality, delivery, or supplier reliability. Buyers should conduct their own due diligence.
No Endorsement: We do not endorse or guarantee any products, suppliers, or user content on the Platform.
Platform Changes: We reserve the right to modify or discontinue any feature without notice.
11. Limitation of Liability
To the maximum extent permitted by law, BuyUganda.online and its affiliates shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages exceeding the total fees paid to us in the past 12 months
- Third-party conduct or product quality issues
Some jurisdictions do not allow certain liability limitations. In such cases, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless BuyUganda.online, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your violation of these Terms
- Your use of the Platform
- Your violation of any third-party rights
- Your products or services
13. Termination
13.1 By You
You may close your account at any time through account settings or by contacting us. Outstanding obligations will survive termination.
13.2 By Us
We may suspend or terminate your account for:
- Violation of these Terms
- Suspected fraud or illegal activity
- Extended account inactivity
- Any other reason at our discretion
13.3 Effects of Termination
Upon termination:
- Your right to use the Platform ends immediately
- Pending transactions may be cancelled or completed
- Outstanding payments will be settled
- Certain obligations survive termination
14. Dispute Resolution
14.1 Informal Resolution
Before filing a formal claim, you agree to contact us to resolve the dispute informally. Most disputes can be resolved through our support team.
14.2 Mediation
If informal resolution fails, disputes shall be submitted to binding mediation in Kampala, Uganda, before resorting to litigation.
14.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive the right to participate in class actions or representative proceedings.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
The exclusive jurisdiction and venue for any claims arising from these Terms shall be the courts of Kampala, Uganda.
16. Changes to These Terms
We may update these Terms periodically. We will notify you of material changes by:
- Posting the updated Terms on this page
- Sending email notifications to registered users
- Displaying a notice on the Platform
Continued use of the Platform after changes constitutes acceptance of the modified Terms.
